Mr. Goldberg concentrates his practice in representing principals in business and real estate transactions. He also assists individuals and their counsel in establishing Delaware limited liability companies, corporations and other limited liability entities. As a Member of the Alternative Entity Sub-Committee, he participates in the drafting of amendments to the Delaware Limited Liability Company Act, the Delaware Revised Uniform Limited Partnership Act and the Delaware Uniform Partnership Act. The Sub-Committee annually proposes the amendments to the Delaware General Assembly for its consideration. Mr. Goldberg’s participation on the drafting committee places him in a unique position to assist his clients and their counsel. He frequently lectures on Delaware limited liability companies. At the request of the Delaware Secretary of State, he has lectured in several countries on the Delaware Limited Liability Company Act.

Mr. Goldberg regularly assists attorneys outside of Delaware by rendering legal opinions on matters of Delaware law. As part of Mr. Goldberg’s real estate practice, he has been involved with the acquisition, in a single transaction, of multiple shopping centers in multiple states, as well as single-asset acquisitions and dispositions. He has substantial experience in representing both borrowers and lenders in various types of real estate transactions, including securitized lending and mezzanine financing. Mr. Goldberg regularly prepares and review leases for tenants and landlords and advises them on lease structure and lease terms.
