Steven Goldberg, as a Delaware attorney, has worked with Delaware limited liability companies since their first inception in Delaware in 1991 and has assisted his clients, as well as attorneys and law firms located outside of Delaware in LLC formation and organization, drafting company or operating agreements and providing legal opinions in connection with business transactions involving a Delaware limited liability companies and other alternative entities.

Steven Goldberg has over 40 years experience in Delaware corporate law involving Delaware business incorporation and organizing Delaware Corporations, drafting corporate documents including stockholder agreements, and regularly assists attorneys and law firms located outside of Delaware, in providing legal opinions in connection with business transactions involving a Delaware corporations.

Steven Goldberg has for many years been involved in delivering legal opinions on matters of Delaware Law to assist attorneys in completing transaction involving Delaware business entities. Much of his time today is spent in delivering Delaware single member LLC and limited partnership, non-dissolution opinions in connection with real estate loans from CMBS lenders as well as Fannie Mae and Freddie Mac. He also provides opinions on other matters including legal opinion in connection with legal malpractice actions involving Delaware LLC’s and LP’s.
